How to Amend a Business Tax Return (Form 1120-X, 1120-S and 1065)

To amend a business tax return, a C corporation files Form 1120-X, an S corporation files a new Form 1120-S with box H(4) checked and amended K-1s, and a partnership under the BBA audit rules files an administrative adjustment request instead. Every change needs a written explanation, and a business that had to e-file its original return must e-file the amendment.

To amend a business tax return you need the right vehicle for the entity: Form 1120-X for a C corporation, an amended Form 1120-S for an S corporation, and for a partnership either an amended Form 1065 or, under the BBA centralized audit rules, an administrative adjustment request. This guide walks through the Form 1120-X instructions line by line, the amended S corp return and its K-1s, partnership AARs, what owners do next, and Form 941-X for payroll. It is built on the current IRS instructions, checked on September 25, 2026.

Three checks before you amend

  1. Is the year still open? A refund needs a claim filed within the period in IRC 6511, and a late claim cannot be allowed. The dates, the lookback limits and the longer windows for bad debts and carrybacks are in how far back you can amend a tax return.
  2. Amended or superseding? For corporate e-filing, the IRS calls a return filed after the original but within the filing period, extensions included, a superseding return; it must be a complete return. Anything filed after the filing period is an amended return (IRS).
  3. Is there a faster form? A corporation asking for a tentative refund from a net operating loss, capital loss or unused general business credit carryback can use Form 1139 if no more than a year has passed since the loss or credit year; after that it uses Form 1120-X. A quick refund of overpaid estimated tax is Form 4466, and an accounting method change is Form 3115.

Form 1120-X instructions, line by line

Form 1120-X (Rev. December 2025) is a three-column comparison, not a full second return. File it only after the original, and file a separate one for each tax year (Treas. Reg. 301.6402-2(d)); Treas. Reg. 301.6402-3 makes Form 1120-X the claim for a corporation's income tax refund. The instructions set out what goes where:

Part IIWhy each line changed

Part II is where claims stall. The IRS needs to know why the return changed: a math or reporting error, a missed deduction or credit (the instructions name the research credit and the employee retention credit), an NOL or credit carryback, or a permitted change to an election. Explain every changed line.

What to attach. Any schedule, statement or form that supports a changed item (for a research credit, Form 6765), with the corporation's name and EIN on each page. Attach Form 8886 if the year involved a reportable transaction. A carryback claim adds copies of page 1 and the tax computation page of Form 1120 for both the loss or credit year and the carryback year, marked at the top with the instructions' label telling the IRS not to process them; an eligible small business carrying back its credit writes "SBJA 2012" at the top of the form.

Who signs. The president, vice president, treasurer, assistant treasurer, chief accounting officer or another authorized corporate officer; a receiver, trustee or assignee signs instead when one files for the corporation. A paid preparer signs the preparer section.

Illustration only. A hypothetical calendar-year C corporation reported $500,000 of taxable income for 2024 and paid $105,000 of tax (21% under IRC 11(b)), then found $40,000 of deductible expenses it missed. On Form 1120-X, line 2 shows $40,000 in column (b), taxable income on line 3 falls from $500,000 to $460,000, and total tax on line 4 falls from $105,000 to $96,600, a decrease of ($8,400). With $105,000 paid and no overpayment on the original, line 11 shows an $8,400 overpayment, and the IRS adds the interest it figures. Round numbers; not a real client.

Where to file Form 1120-X, and when to e-file it

On paper, Form 1120-X goes to the IRS service center where the corporation filed its original return, and the form asks you to name it. Private delivery services designated by the IRS count for the timely-mailing rule. For reference, here is where the 2025 Form 1120 instructions send a paper original; an earlier year's original may have gone to a different center, so check the return you filed.

Electronic filing is not optional for many corporations. The IRS says a taxpayer that had to e-file its original Form 1120, 1120-S or 1120-F must e-file the amended or superseding return, unless it holds a waiver; tax years that have rolled off the e-file system can go on paper without one. An e-filed corporate amendment is the corrected Form 1120 completed in full with the Amended Return box checked, the XML Form 1120-X through Part I, line 10 or 11, and Part II, every changed or supporting form and schedule, and the signature document (Form 8453-C) or a practitioner PIN. A carryback claim can be e-filed as long as the carryback box is checked (IRS, amended and superseding corporate returns).

Amending an S corporation return (Form 1120-S)

There is no separate "X" form for an amended S corp return. Per the 2025 Form 1120-S instructions, the corporation files a new Form 1120-S, checks box H(4), and attaches a statement that gives, for each changed item, the line number, the corrected amount or treatment, and the reason. If anything reported to a shareholder was wrong, it files an amended Schedule K-1 (and K-3, where used) for that shareholder, checks the "Amended K-1" box at the top, and gives the shareholder a copy. An e-filed amendment attaches an XML document the IRS calls AmendedReturnChanges instead of a Form 1120-X.

The amended K-1 is where the money is. Shareholders report the corporation's income, deductions and credits on their own returns, so a correction that lowers income or adds a credit usually produces a refund only when a shareholder files an amended personal return, inside the shareholder's own refund window. Send the amended K-1s promptly: an S corporation that amends late in a shareholder's window can leave that shareholder no time to claim.

Amending a partnership return: amended Form 1065 or an AAR

Partnerships split by audit regime (2025 Form 1065 instructions):

The Form 8082 instructions set the AAR clock: within 3 years after the later of the date the partnership return was filed or its original due date, and before the IRS mails a notice of administrative proceeding for that year. After that notice, no AAR can be filed, and an AAR cannot be used just to change the partnership representative. When the adjustments produce an imputed underpayment, the partnership either pays it (reported on Form 1065, line 26) or elects to push the adjustments out to its reviewed-year partners. When they produce no imputed underpayment, or one of zero or less, the partnership files Form 8985 with the AAR and sends each reviewed-year partner Form 8986, never an amended K-1.

Amending payroll tax returns: Form 941-X

Payroll returns have their own correction form. Per the Form 941-X instructions (Rev. April 2026):

When the amendment adds an R&D credit

An amendment that claims or increases the research credit carries more than the usual attachments. Form 6765 goes with the amended return or AAR, together with the claim information the IRS requires for research credit refunds: every business component the claim covers, the research activities for each, and total qualified wages, supplies and contract research for the year (Form 6765 instructions; IRS research credit claim FAQs). A corporation filing Form 1120 must use a formal amended return for the research credit, not an informal claim. The rest, including the 45-day window to fix a deficient claim and the elections an amendment cannot change, is in claiming a missed R&D credit on an amended return.

Amended business return questions

What is Form 1120-X used for?

A C corporation uses Form 1120-X to correct a Form 1120 as originally filed, or as later changed by an amended return, a claim for refund or an IRS examination, and to make certain elections after their deadline. It is not used for a quick refund of estimated tax (Form 4466), a tentative carryback refund filed within a year (Form 1139) or an accounting method change (Form 3115).

Where do I mail Form 1120-X?

To the IRS service center where the corporation filed its original return; the form has a line for it. For 2025 returns, the Form 1120 instructions route paper returns to Kansas City, MO 64999-0012 or Ogden, UT 84201-0012 depending on the state and total assets, and to a P.O. Box in Ogden from a foreign country or U.S. territory. A corporation that had to e-file its original return must e-file the amendment instead.

Can Form 1120-X be filed electronically?

Yes. The IRS e-file system processes amended Forms 1120, 1120-S and 1120-F. An e-filed corporate amendment is the corrected Form 1120 with the Amended Return box checked, plus an XML Form 1120-X through Part I, line 10 or 11, and Part II. If the original had to be e-filed, the amendment must be too; years no longer on the system can be filed on paper.

Is there a Form 1120-S X for S corporations?

No separate form is used. An S corporation corrects a filed return by filing a new Form 1120-S with box H(4) checked, a statement that lists each changed line, the corrected amount and the reason, and amended Schedules K-1 (and K-3) marked as amended, with copies to shareholders.

What is the statute of limitations for an amended 1120-S?

Refunds follow IRC 6511: generally 3 years from filing or 2 years from payment, whichever is later. Because an S corporation’s income and credits flow to shareholders, a refund usually comes on each shareholder’s own amended return, measured by that shareholder’s own window. How does a BBA partnership amend its return?

It files an administrative adjustment request, not an amended return or amended K-1s: Form 1065 with box G(5) and Form 8082 when e-filed, or Form 1065-X on paper, with Forms 8985 and 8986. The AAR must be filed within 3 years after the later of the filing date or the original due date, and before the IRS mails a notice of administrative proceeding.

Can a partnership e-file an amended Form 1065?

Yes. A partnership outside the BBA rules e-files Form 1065 with box G(5) checked, a statement of each change, and amended Schedules K-1 or K-3. The rules that decide whether the original had to be e-filed also apply to the amended return. Paper amendments use Form 1065-X.

What is a superseding return?

In the IRS’s words for corporate e-filing, a superseding return is one filed after the original but within the filing period, including extensions, and it must be a complete return. A return filed after the filing period has ended is an amended return.

How long does an amended business return take?

The Form 1120-X instructions say processing often takes 3 to 4 months. The IRS tool Where’s My Amended Return tracks Form 1040-X, the individual amended return, and does not cover carryback applications and claims.

Does the IRS pay interest on an amended corporate refund?

Yes. The Form 1120-X instructions say the IRS figures any interest due and includes it in the refund of the additional overpayment on line 11. No interest is paid on an overpayment the corporation chooses to apply to next year’s estimated tax on line 12.

How do I amend a payroll tax return?

File Form 941-X for each quarter being corrected, choosing the adjustment process (paying underreported tax, or applying overreported tax to the current quarter) or the claim process (asking for a refund or abatement). Underreported tax is due by the due date of the return for the quarter the error was found. Form 941-X can be e-filed.

Do I need to amend my state return too?

Often. The Form 1120-S and Form 1065 instructions both warn that a change to the federal return, including one from an IRS examination, may affect the state return, and point to the state tax agency for how to correct it.
