Technology & SaaS Companies: Payroll Setup Guide (2026)
Setting up technology company payroll means the standard registrations, an EIN, state withholding and unemployment accounts, new hire reporting, plus the technology company specifics: pay codes for equity compensation handling and remote employee multi-state tax and a documented classification for software engineers and product managers. BEG: $45 per employee per month inside the payroll software you already use, live in 3 to 5 days.

Step 1: accounts and registrations
Every technology company starts with an EIN, a withholding account in each state where someone works (unless that state has no wage tax), an unemployment insurance account in each of those states, and access to each state's new hire directory. New employers deposit federal employment taxes monthly during the first calendar year because there is no lookback period yet.
Step 2: classify software engineers and product managers before the first check
Job titles do not determine exemption status. To be exempt as a computer employee, the worker's primary duty must consist of systems analysis to determine specifications, the design, development, testing, or modification of computer systems or programs, or work on programs related to machine operating systems.
Step 3: build the technology company pay codes
Equity compensation handling, remote employee multi-state tax, contractor classification and commission payroll each become a pay code with its own taxability and overtime treatment. Building them before the first run is cheaper than correcting a quarter of 941s afterward.
The federal income tax withholding rate on supplemental wages, which include bonuses and commissions, is 22 percent, and 37 percent to the extent an employee's supplemental wages during the calendar year exceed $1 million. The 37 percent rate applies without regard to the employee's Form W-4.
Step 4: set the records up to be kept
When an employee exercises a nonstatutory stock option, the employer must report the excess of the stock's fair market value over the amount paid on Form W-2 in boxes 1, 3 (up to the social security wage base), and 5, and in box 12 using code V. Income from exercising an incentive stock option or an employee stock purchase plan option is not wages for social security, Medicare, or FUTA tax.
A qualified small business claiming the research payroll tax credit must complete Form 8974 and attach it to its employment tax return each quarter it claims the credit. Any credit in excess of the employer share of social security and Medicare tax on that return carries over to the next period's return.
